These Terms and Conditions outline the agreement between you and Ecommerce Assist. By using our services, you confirm that you understand and accept the terms below.
1. Introduction
Ecommerce Assist is a Brighton and Hove based ecommerce virtual assistant service supporting small and growing businesses with day to day Shopify tasks, creative updates, technical improvements, and general online shop management.
These Terms and Conditions apply to all services provided by Ecommerce Assist. By requesting or using our services, you agree to be bound by this agreement.
2. Services Provided
Ecommerce Assist offers a range of ecommerce virtual assistant services, including but not limited to:
• Shopify administrative support
• Creative and content tasks
• Technical and optimisation work
• SEO essentials
• Product uploads and updates
• Email and workflow assistance
• Website housekeeping and tidy ups
The specific tasks to be completed are agreed through monthly briefs, email, or written communication.
Ecommerce Assist does not guarantee specific sales, revenue targets, or results from any work carried out.
3. Client Responsibilities
To ensure tasks are completed effectively, clients agree to:
• Provide accurate and complete information
• Supply any logins, assets, files, instructions, or content needed
• Confirm they have authority to grant access to systems and data
• Respond to messages or requests for clarification in a reasonable time
Delays in providing information may affect deadlines or work progress.
4. Access to Shopify and Third-Party Platforms
To complete certain tasks, Ecommerce Assist may require access to the back end of your Shopify store or related apps.
By providing access, you confirm that:
• You authorise Ecommerce Assist to access your store for the agreed tasks
• You understand that no major changes will be made without your approval
• You acknowledge that you remain responsible for maintaining account security
• You agree to remove or update access credentials if the relationship ends
Ecommerce Assist is not responsible for:
• Pre-existing issues within your Shopify store
• Errors caused by third-party apps
• Server downtime or platform-wide Shopify issues
All access will be handled responsibly and with care.
5. Data Protection and Confidentiality
Ecommerce Assist will treat any information, files, and access details you provide as confidential.
We will:
• Store access details securely
• Never share your data with unauthorised parties
• Only use your information for the purposes of completing agreed tasks
You remain responsible for your own data security and system backups.
6. Fees, Payment Terms, and Invoicing
Service rates will be confirmed by email or proposal.
Unless otherwise agreed:
• Work is billed at the agreed hourly rate
• Minimum booking requirements may apply
• Invoices are issued weekly or monthly depending on the project
• Payment is due within 7 days of the invoice date
• Late payments may delay or pause work
Payments for completed hours are non-refundable.
7. Cancellations and Termination
Either party may end the working relationship with written notice.
If you wish to cancel:
• You must give reasonable notice (recommended: 7–14 days)
• Any hours already completed must still be paid for
• No refunds are provided for completed work
When the agreement ends, clients are responsible for revoking or updating any access previously granted.
8. Limitation of Liability
Ecommerce Assist is not liable for:
• Loss of sales, revenue, or business
• Issues caused by third-party apps or software
• Shopify downtime or platform errors
• Inaccurate information supplied by the client
• Changes made by other team members or third parties
Our total liability will not exceed the amount paid for the service in the 30 days prior to any claim.
9. Intellectual Property
• Any work created by Ecommerce Assist becomes yours once paid for
• Templates, processes, systems, and methods remain the property of Ecommerce Assist
• Clients must own the rights to any assets they provide (eg. images, text, logos)
10. Use of Third-Party Tools
Some tasks may require the use of external apps or tools.
You agree that:
• App fees or subscriptions are the client’s responsibility
• Ecommerce Assist is not liable for changes, bugs, or outages related to third-party tools
• Recommendations are made based on experience, not guaranteed performance
11. Communication and Availability
Ecommerce Assist will communicate primarily through email, Trello, or agreed channels.
Working hours are typically Monday to Friday.
Messages will be responded to within a reasonable timeframe.
12. Amendments to These Terms
Ecommerce Assist may update these Terms and Conditions from time to time. Any changes will be published on our website. Continued use of the service indicates acceptance of the updated terms.
13. Governing Law
These Terms and Conditions are governed by and interpreted in accordance with the laws of England and Wales. Any disputes will be handled under UK jurisdiction.
